AES Distributed Energy is currently seeking a paralegal to join the company in its Boulder, CO office. This individual will be responsible for providing primary legal support to a busy in-house legal department.
Essential functions of the position include, but, are not limited to:
Form and maintain legal entities, drafting minutes, resolutions, organizational documents and state filings.
Prepare typical corporate governance matters and related deliverables including standard corporate resolutions, certificates, operating agreements, and membership interest certificates.
Coordinate internal processes and procedures related to entity formation and management
Organize contracts and entity documents
Assist in creation of markups of agreements
Order lien and litigation searches. Assist lawyers in the preparation and filing of UCC filings and handle UCC filing search requests in all states.
Conduct reputational due diligence on potential suppliers using online tools such as Lexis/Nexus, Factiva or Google.
Conduct database searches on potential counterparties to screen for US sanctions risks.
Support the Compliance Officer in implementing the various aspects of AES DE s Ethic and Compliance program.
Assist in managing outside law firm billing and invoicing
Assist in various energy transactions, including closings and financings.
Ad hoc tasks as assigned by legal department
Bachelor s or an Associate Degree
Experience working at a law firm or in-house legal department is preferred
Strong work ethic and ability to self-start in a fast-paced environment
Strong organization and communication skills

Ability to work with little supervision and to seek help when needed
