At National Spine & Pain Centers (NSPC), our mission is to relieve pain and improve quality of life through personalized, accessible care. We are looking for a Director of Finance, Mergers & Acquisitions (M&A) to support the companys initiatives in business development and M&A transactions including financial analysis, documentation, coordination, and communication to senior management and the board of directors. Experience in healthcare is required. The Director Finance,M&A will be NSPCs top leader of M&A execution, leading transactions through cross-functional due diligence processes. This position will report to the CFO and work closely with the VP, Corporate Development. The position will be responsible for supporting NSPCs accounting and finance organization to help ensure compliance with GAAP, as well as adhere to NSPCs finance/accounting policies. Duties and Responsibilities Plays a strategic role in leading, planning and providing support for due diligence activities across all functional areas of a transaction. Compiles due diligence findings, integration plans and supports market research required by department in order to enable informed decision-making for M&A transactions. Assists with modeling and financial analysis of on-going transactions. Conduct detailed target analysis and financial modeling using KPIs and other variables such as sales drivers in order to estimate revenue and profitability of target over a multi-year projection period. Develop operating models that are highly flexible and incorporate multiple scenarios for the purpose of enabling any necessary and abrupt changes on a real-time basis. Lead the preparation of valuation models following the businesss M&A standards. Partner with NSPCs various functional departments to assist in developing key analysis to support transaction evaluation and ensure process deadlines are developed and achieved to meet NSPCs goals. Gathers important information regarding risks and opportunities for impending and ongoing M&A activities, translating this information into fact-based and well-reasoned insights on the valuation and structural impact of the merger or acquisition. Work hand-in-hand with executive leadership in making final approvals of M&A transactions as well as delivering and communicating, balanced and comprehensive analysis for each stage of M&A transactions. Works directly with external business leadership of target business in supporting management and execution of the M&A process throughout the transaction life cycle. Identify markets, industries, geographies and technologies that complement the overall M&A strategy and translate these analyses into specific targets. Responsible for maintaining knowledge of M&A activities, keeping up with industry best practices and maintaining a high level and success rate of M&A activities for NSPC. Keep up with legislation and regulatory policies governing M&A transactions within the Companys jurisdiction of operation, ensuring all activities fall within the confines of these policies and legislation. Responsibilities encompass the entire M&A life-cycle with a strong mix of operational and strategic aspects. Establish and document internal procedures for various business development and divisional finance teams with merger & acquisition (M&A) activities (including due diligence, deal model review, purchase price accounting and related documentation of such transactions). Perform functions with a focus on delivering value to the business through integration readiness assessments, developing integration strategies, target due diligence and post-close integration management. Requires continual interactions with both internal and external business leaders in driving ongoing alignment of M&A. Additionally responsible for ensuring that M&A processes and standards are adhered to. Prepare detailed analysis and reports in a timely manner as requested by Management. Work with Corporate Controller and the accounting team to integrate acquired businesses in financial systems. Assist in review of accounting structure for opportunities to gain operational efficiencies. Document internal procedures and accounting controls for M&A purposes. Work with senior/executive management on financial analysis for ad hoc strategic projects. Determine appropriate methods of financial presentation. Qualifications and Skills: Bachelors degree in Business, Accounting or Finance or Economics required. Masters in Accounting is preferred. Minimum of seven (7) years of proven experience in an M&A finance or transaction advisory services capacity within a fast-paced, highly competitive and dynamic environment. Strong accounting knowledge, application of accounting theory and communication capabilities with ability to present information relevant to the audience. Highly proficient in MS Excel, Access, Word and PowerPoint with expertise in accounting systems. Advanced knowledge of Excel formulas, pivot tables, and advanced functions. Strong understanding of accounting systems and data flow. Excellent communication skills, both verbal and written. Experience in high volume multi-site accounting is required. Strong knowledge of Generally Accepted Accounting Principles (GAAP). Significant knowledge of accrual accounting concepts, corporate finance. Ability to supervise, coach and mentor team members Proven expertise with Financial Accounting Software packages is required. Knowledge of theory and application of budgeting processes. Ability to work independently as well as part of a team. Candidate will demonstrate in-depth operational and valuation financial modeling experience Experience making effective decisions through the analysis of information. Experience managing M&A transactions through the entire deal life-cycle. Ability to work independently with sellers and manage cross-functional teams to assist NSPCs CFO and VP, Corporate Development in M&A transaction execution. Active Certified Public Accountant (CPA) license is preferred. Must be authorized to work in the United States and not require work authorization sponsorship by our company for this position now or in the future. Must have satisfactory background check inclusive of driving, criminal, employment reference, education, and social security.
