Role Description

HSBC Bank is building an exciting new team dedicated to the negotiation of credit and lending documentation, and is seeking an inaugural Head of Loan Negotiations to lead the newly formed Loan Negotiations Team (LNT).

This role will report into the Legal function and will be responsible for assisting Legal with developing (i) commercial loan negotiation guidelines for bilateral and syndicated credit facilities, (ii) escalation procedures for resolving comments that fall outside of the guidelines, and (iii) team policies, procedures and productivity/success metrics. In addition, this role will be responsible for assisting Legal with operationalizing the team, including training new members, and coaching, developing and overseeing LNT members in coordination with Legal. The role will initially be based in NYC, but may relocate over time (in 2021 or thereafter) to an alternate location that is yet to be determined.

The LNT will initially support HSBC's rapidly growing Commercial Banking business line (CMB), which closes several thousand loan transactions each year. CMB works with a wide range of corporate customers, from small enterprises to mid-market companies and large multinationals. Among other products, CMB provides corporate clients with credit facilities, including working capital revolvers, term loans and acquisition financing solutions.

The Head of LNT will have regular interaction with CMB's nationwide relationship managers (internal stakeholders) as well as our corporate borrower clients (external stakeholders). As a result, the Head of LNT will be expected to consistently demonstrate and model exceptional client service and utmost professionalism at all times.

Once the LNT is up and running, the Head of LNT will be responsible for (i) ensuring that commercial loan transactions are negotiated from start to finish, in accordance with approved negotiation guidelines, (ii) ensuring that LNT members adhere to team policies and procedures, including escalating exceptions where needed and achieving or surpassing productivity/success targets, and (iii) ensuring that internal and external stakeholders consistently enjoy a smooth, efficient and professional loan negotiation experience.

This is a highly visible and strategically important role that will require the successful candidate to have a long-term vision for, and commitment to, the team.

Must-Have Qualifications

* 5 years' experience drafting, reviewing and negotiating deal-related documentation for credit facilities, capital raises or other similar transactions

* 5 years' experience managing a transaction process from start to finish, and interfacing directly with clients or counterparties throughout
* Able to confidently negotiate with counterparties to achieve positive outcomes and mitigate risk for the bank
* Able to clearly and succinctly explain the impact of contractual provisions to internal and external stakeholders
* Dynamic, upbeat personality
* Positive, can-do attitude
* Highly organized
* Responsive and demonstrate appropriate sense of urgency
* Able to quickly establish trust among stakeholders

Nice-to-Have Qualifications

* Juris Doctor degree and admission to the Bar
* Experience working at a major law firm or a large corporate legal department, focused on corporate finance transactions
* Experience working with or for a financial institution
* Knowledge of UCC and secured transactions
* Experience working on cross-border or cross-jurisdictional matters
* Experience leading and/or building a team
